Terms of Service

These Terms of Service (“Terms”) govern your use of the website and consulting services provided by Nightingale Nursing Consultants PLLC (“we,” “our,” or “us”). By accessing or using our website or services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, you must not use our services.


1. Scope of Services

Nightingale Nursing Consultants provides legal nurse consulting services to attorneys, legal professionals, and healthcare-related entities. Services include:

  • Case file review and analysis
  • Identification of deviations from standards of care
  • Chronologies, timelines, and summaries
  • Medical record interpretation
  • Expert insight in long-term care, elder care, and nursing home cases

Important: We do not offer legal advice or representation. All services are provided as nursing and healthcare consultation within our professional scope under RCW 18.79 (Nursing Care).


2. Eligibility

To use our services, you must be:

  • At least 18 years of age
  • A legal representative, healthcare professional, or adult individual authorized to engage in professional consultation
  • Able to enter into a legally binding agreement under Washington State and federal law

3. Client Responsibilities

You agree to:

  • Provide accurate and complete information
  • Disclose all relevant case details, including known deadlines
  • Maintain communication and timely response to requests
  • Ensure any shared documents do not violate third-party confidentiality agreements

We reserve the right to discontinue services if required documentation is not provided or communication is unreasonable delayed.


4. Confidentiality

All case-related information shared with us is handled as confidential under Washington State and federal privacy laws, including HIPAA. We sign NDAs or Business Associate Agreements (BAAs) upon request.

5. Intellectual Property

All content produced by Nightingale Nursing Consultants, including:

  • Work product
  • Timelines, reports, and case summaries
  • Educational or training materials

…is the intellectual property of Nightingale Nursing Consultants unless expressly agreed otherwise in writing.

You are granted a limited, non-transferable license to use delivered materials for the purpose outlined in your service agreement. Reproduction, resale, or modification without written permission is prohibited.


6. Payment Terms

All services are subject to a signed service agreement or retainer agreement. Unless otherwise agreed:

  • Payment is due upon invoice
  • Late fees may apply after 15 days
  • Retainers must be paid in full before work begins
  • Payments are accepted via secure digital invoice (Stripe, Zelle, etc.) or check

Invoices will clearly describe billable time, flat-rate services, or package pricing. Work may be paused for non-payment.


7. No Guarantees or Outcomes

While we strive to provide accurate, evidence-based consulting, we do not guarantee case outcomes. Our role is to provide professional nursing insight and documentation review to assist legal teams in making informed decisions.

All final decisions regarding legal strategy, settlements, or litigation belong solely to the attorney(s) and their clients.


8. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability under these Terms is limited to the amount paid for the services rendered in the 90 days prior to the claim

This includes loss of revenue, loss of data, or client dissatisfaction arising from reliance on our consulting.


9. Cancellation & Refund Policy

You may cancel consulting services by written notice. Refunds, if applicable, are subject to:

  • The scope of work already completed
  • Administrative time and preparation costs
  • Agreed terms in your engagement letter or service agreement

No refunds will be issued once deliverables have been provided or testimony has been given.


10. Termination of Service

We reserve the right to terminate service at our discretion if:

  • You breach these Terms
  • You behave in a hostile, threatening, or unethical manner
  • The consulting relationship is no longer appropriate or sustainable

Any outstanding fees must be paid upon termination.


11. Governing Law

These Terms are governed by and interpreted under the laws of the State of Washington, without regard to conflict of law principles. Any disputes shall be resolved in the courts of [Insert County] County, Washington.


12. Modifications

We reserve the right to modify these Terms at any time. Updated versions will be posted on our website with the new effective date. Continued use of our services indicates your acceptance of the revised Terms.
